Terms of Service

Effective date: July 9, 2026

1. Parties

This agreement is between Patya LLC ("we", "us") and the individual or business using LedgerXL ("you").

2. License grant

We grant you a non-exclusive, non-transferable right to use LedgerXL to access and sync your own QuickBooks Online data.

3. Acceptable use

You will not use LedgerXL to access QuickBooks Online data you do not own or are not authorized to access. You will not attempt to reverse-engineer or resell the service.

4. Data ownership

You retain ownership of all your QuickBooks Online data. We act as a processor of that data, not a controller.

5. Service availability

LedgerXL is provided on a best-effort basis with no service-level agreement. We may pause the service for maintenance or non-payment.

6. Termination

Either party may terminate this agreement at any time. On termination, we delete your data according to the retention window described in our Privacy Policy.

7. Disclaimer

LedgerXL is provided "as is", without warranty of fitness for a particular purpose. We are not responsible for downstream tax or financial decisions made from synced data.

8. Limitation of liability

Our aggregate liability under this agreement is capped at the fees you paid us in the preceding 12 months.

9. Governing law

This agreement is governed by the laws of the State of Kentucky.
